Terms of Service

1. Acceptance

By creating an account or using any YokeDev service, you agree to these Terms of Service ("Terms"), our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the service.

2. Service Description

YokeDev provides cloud-hosted development environments with AI-assisted tooling, version control, deployment pipelines, and related infrastructure ("the Service"). Each project runs on a dedicated virtual machine provisioned and managed by YokeDev.

Virtual machines are owned and operated by YokeDev. YokeDev retains administrative access to all infrastructure for the purposes of maintenance, security, abuse prevention, troubleshooting, and service improvement. YokeDev may access system logs, resource metrics, and deployment data on customer VMs. YokeDev does not access or monitor the content of your code, files, or data except as required to investigate AUP violations, respond to legal process, or resolve technical issues at your request.

3. Accounts

You must provide a valid email address and maintain a strong password. You are responsible for all activity under your account. You must be at least 18 years old to use the Service. One person or entity per account; accounts are non-transferable.

4. Billing and Payment

Paid plans are billed monthly via Stripe. Charges begin when your project is provisioned. You may cancel at any time; cancellation takes effect at the end of the current billing period. No partial-month refunds are provided. YokeDev reserves the right to change pricing with 30 days notice to active subscribers.

Plan prices are based on typical usage patterns for the tier you select. Excessive usage of compute, storage, bandwidth, or object-storage capacity beyond what is reasonable for the plan tier may incur additional usage fees. YokeDev will provide notice before applying any such fees and will work with you in good faith to right-size your plan or arrange overage billing.

5. Your Content

You retain ownership of all code, data, and content you create or upload ("Your Content"). YokeDev does not claim any intellectual property rights over Your Content. You grant YokeDev a limited license to host, store, back up, and transmit Your Content solely to provide the Service.

6. YokeDev Software and Intellectual Property

YokeDev provides software components that run on virtual machines you use, including but not limited to the YokeDev MCP server, related Python modules, configuration scripts, deployment tooling, and supporting infrastructure (collectively, the "YokeDev Software"). The YokeDev Software is proprietary to YokeDev. It is licensed (not sold) to you for the limited purpose of using the Service. YokeDev retains all right, title, and interest in and to the YokeDev Software, including all copies, modifications, and derivative works.

You agree NOT to:

(a) reverse engineer, decompile, disassemble, or otherwise attempt to derive or reconstruct the source code, underlying ideas, algorithms, file formats, or organization of the YokeDev Software;

(b) extract, copy, mirror, archive, exfiltrate, or otherwise reproduce any portion of the YokeDev Software, including source files, compiled bytecode (.pyc files), tarballs, archives, or other artifacts located on the virtual machine, except as strictly necessary in the ordinary course of using the Service;

(c) use, study, train AI models on, or analyze the YokeDev Software for the purpose of building, training, supporting, marketing, or operating any product or service that competes with YokeDev;

(d) distribute, publish, post, sublicense, sell, lease, transfer, or otherwise make any portion of the YokeDev Software available to any third party;

(e) circumvent, disable, remove, or interfere with file permissions, sandboxing, encoding, encryption, integrity checks, or other technical measures intended to protect the YokeDev Software or restrict access to it.

For clarity, this section does NOT restrict your use of, ownership of, or rights to Your Content (defined in Section 5), and does NOT override any open-source license that ships with a third-party component included in the YokeDev Software, which remains governed by its own license terms.

The obligations in this Section 6 survive termination of these Terms.

You acknowledge that any breach of this Section 6 may cause irreparable harm to YokeDev for which monetary damages would be inadequate. YokeDev is therefore entitled to seek injunctive or other equitable relief in addition to any other remedies available at law or in equity, without the requirement of posting a bond and without prejudice to any claim for monetary damages.

7. Infrastructure, Maintenance, and Backups

Your code is stored in a managed Git repository, which is the primary means of recovery. YokeDev does not guarantee backup or recovery of runtime data, databases, uploaded files, environment variables, or any data stored outside of your Git repository. You are responsible for exporting and backing up any data that is not committed to Git.

YokeDev may update, patch, migrate, or restart your virtual machine at any time for maintenance, security, or platform improvements. YokeDev will make reasonable efforts to notify you of planned maintenance but is not obligated to do so for emergency security updates or automated platform upgrades.

8. Data Retention

When you delete a project, the virtual machine is destroyed immediately. Your code repository is archived (read-only) for 30 days, during which you may request restoration. After 30 days, the repository is permanently deleted. Account deletion removes all associated data within 30 days.

9. Acceptable Use

Your use of the Service must comply with our Acceptable Use Policy. YokeDev may suspend or terminate accounts that violate the AUP without notice. You are solely responsible for ensuring your use of the Service complies with all applicable laws.

10. Service Availability

YokeDev aims for high availability but does not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. YokeDev is not liable for downtime, data loss, or service interruptions beyond reasonable control.

THE SERVICE IS PROVIDED ON A BEST-EFFORT BASIS. YOKEDEV DOES NOT GUARANTEE DATA INTEGRITY, BACKUP RECOVERY, OR ZERO DOWNTIME. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR DATA OUTSIDE OF THE YOKEDEV PLATFORM.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOKEDEV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. YOKEDEV'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU ACTUALLY PAID YOKEDEV IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). IF YOU HAVE NOT PAID YOKEDEV ANY FEES, YOKEDEV'S TOTAL LIABILITY SHALL NOT EXCEED TEN U.S. DOLLARS ($10).

12. Indemnification

You agree to indemnify and hold harmless YokeDev, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

13. Termination

Either party may terminate at any time. YokeDev may suspend or terminate your account immediately for Terms violations. Upon termination, your data retention rights under Section 8 apply, and the obligations in Section 6 (YokeDev Software and Intellectual Property) survive.

14. Changes to Terms

YokeDev may update these Terms at any time. Material changes will be communicated via email to the address on your account at least 14 days before taking effect. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Minnesota, United States, without regard to conflict of law provisions.
